TERMS AND CONDITION

Welcome to Vedika Health, operated by Vedika Healthtech Private Limited ("Company", "We", "Us", or "Our"). Vedika Healthtech Private Limited shall hereinafter be referred to as "Vedika." These Terms of Use ("Terms") govern your access to and use of the Vedika HealthTech mobile application, its website, and all related services (collectively, the "Platform").
By accessing, browsing, registering on, or using any part of the Platform, you acknowledge and agree that you have read, understood, and consented to be bound by these Terms. If you do not agree, please discontinue the use of the Platform immediately.

1. NATURE AND APPLICABILITY OF TERMS (Vedika HealthTech)

Please carefully read these terms and conditions ("Terms") along with the Privacy Policy available at [insert Vedika HealthTech Privacy Policy URL] ("Privacy Policy") before accessing or using the Vedika Health website or mobile application ("Platform"). These Terms and the Privacy Policy together form a legal and binding agreement ("Agreement") between you and Vedika Healthtech Private Limited ("Vedika HealthTech", "Company", "we", "us", "our") governing your visit to the Platform and your use of any Services (defined below).

This Agreement applies to all individuals and entities who access or use the Platform, including:

a. Healthcare Professionals / Practitioners

A medical practitioner, healthcare provider, diagnostic laboratory, pharmacy, ambulance operator, hospital, clinic, or any similar professional entity, whether operating individually or as an organisation, who wishes to be listed or is already listed on the Platform, including authorised representatives of such practitioners or establishments ("Practitioner(s)", "you", "User").

b. Patients / End-Users

Any individual, patient, caregiver, representative, or affiliated person accessing the Platform to search for Practitioners, book consultations, order medicines, schedule diagnostic tests, request ambulance services, or avail any other healthcare-related service offered through the Platform ("End-User", "you", "User").

c. General Users

Any person who accesses, browses, or uses any portion of the Platform for any purpose ("you", "User").

d. "Health Services" / "Services"

"Health Services" means the services offered on or through the Platform, including but not limited to:

  • Telemedicine consultations (audio, video, chat)
  • In-person doctor appointments
  • Diagnostic tests and sample collection services
  • Delivery of diagnostic reports
  • Generation of prescriptions or e-prescriptions
  • Healthcare content, articles, blogs, or preventive health information
  • Wellness and lifestyle management services
  • Any other digital or physical health-related service provided through the Platform

These services may be provided either directly by the Company or by Practitioners/third-party partners.

e. "Marketplace" / "Aggregator Platform"

"Marketplace" or "Aggregator Platform" refers to the Platform operated by Vedika Healthtech Private Limited, which functions as a technology-based intermediary enabling:

  • Users to connect with Practitioners, healthcare providers, laboratories, or diagnostic centers;
  • Booking, scheduling, and management of health-related services;
  • Payment facilitation through third-party payment gateways such as Razorpay;

The Company acts only as a facilitator and does not provide medical treatment or diagnostic services on its own unless explicitly stated. The responsibility for all medical advice, diagnosis, treatment, and reports lies solely with the respective Practitioner or healthcare provider.

2. Scope of the Agreement

This Agreement applies to all Services provided through the Platform ("Services"), including but not limited to:

For Practitioners:

  • Listing of Practitioners, establishments, and healthcare service providers on the Platform;
  • Display of profiles, qualifications, availability, and contact information to End-Users;
  • Enabling appointment bookings, patient interactions, and consultations.

For End-Users and Other Users:

  • Creating and maintaining an online user account ("Health Account");
  • Searching for Practitioners, hospitals, clinics, labs, pharmacies, and other healthcare services by name, specialty, location, rating, or other parameters developed by Vedika Health;
  • Booking appointments, teleconsultations, diagnostic tests, ambulance services, and ordering medicines or health products;
  • Accessing electronic health records, prescriptions, test reports, and related information.

Vedika Health may update, modify, expand, limit, suspend, or discontinue any portion of the Services at its sole discretion. These Terms will apply to your use of the Platform and all information provided by you at any time.

3. Acceptance of Terms

By downloading, accessing, or using the Platform or any Service, you irrevocably accept and agree to be bound by these Terms, the Privacy Policy, and any additional terms applicable to specific Services (such as subscription plans, paid services, vendor onboarding, etc.).

Your use of the Platform signifies:

  • Your acceptance of the Agreement;
  • Your acknowledgement that you have read and understood the Terms;
  • Your agreement to follow and comply with all obligations set out in the Agreement.

This Agreement supersedes all prior oral or written communications or agreements regarding your use of the Platform or Services.

If you do not agree to any part of the Agreement, you must not use the Platform or any Services offered through it.

4. Modifications to the Agreement

Vedika HealthTech reserves the exclusive right to amend, revise, modify, or terminate any portion of the Agreement for any reason, at any time. Any significant change will be communicated to you through:

  • A notification on the Platform
  • An email, or
  • Any other reasonable means.

You are responsible for reviewing the Terms periodically. Continued use of the Platform after any modification constitutes your consent to be bound by the amended Terms.

5. Discretion to Provide Access

Your access to the Platform and Services is entirely at the discretion of Vedika HealthTech. We may restrict, suspend, or deny access to any User at any time if we believe the User is violating these Terms, applicable law, or engaging in fraudulent or harmful activity.

6. Governing Law

This Agreement is published in compliance with, and governed by, the laws of India, including but not limited to:

  • The Indian Contract Act, 1872;
  • The Information Technology Act, 2000;
  • The Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 ("SPDI Rules");The Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 ("IG Rules");
  • The Digital Personal Data Protection Act, 2023 ("DPDP Act");
  • Any other applicable rules, amendments, notifications, or guidelines related to data protection, telemedicine, healthcare, or digital services.

2. CONDITIONS OF USE (Vedika HealthTech)

You must be 18 years of age or older to register on the Platform, use the Services, access any feature of the Platform, or visit the Website/Application in any capacity.

By accessing, visiting, registering on, or using the Platform or by accepting this Agreement, you expressly represent and warrant to Vedika Healthtech Private Limited ("Vedika Health") that:

  • You are 18 years of age or older;
  • You have the legal capacity, authority, and competence to enter into this Agreement;
  • You have the right and legal capacity to use the Platform and the Services made available through it;
  • You agree to be bound by this Agreement and comply with all applicable laws.

If you are using the Platform on behalf of another person (such as a minor or dependent), you represent that you are legally authorised to do so and accept responsibility for their use of the Platform.

If you do not meet these conditions, or if you disagree with any part of the Agreement, you must not use the Platform or access the Services

3. TERMS OF USE APPLICABLE TO ALL USERS OTHER THAN PRACTITIONERS

These terms apply exclusively to individuals accessing or using the Vedika Health Platform, including the Website and Mobile Application, other than registered healthcare practitioners.

3.1 END-USER ACCOUNT AND DATA PRIVACY

3.1.1 The expressions "personal data," "sensitive personal data," and "digital personal data" shall carry the meanings assigned under the Digital Personal Data Protection Act, 2023 (DPDP Act). These definitions, along with additional clarifications, are further detailed in Vedika Health's Privacy Policy

3.1.2 Vedika Health may automatically collect device-related information and anonymized usage data whenever you access or use the Platform. This information is collected solely to enhance Platform functionality, improve service delivery, strengthen security, support analytics, and develop new features

3.1.3 By registering on the Platform, you authorize Vedika HealthTech to use your registered mobile number and/or email address for sending account-related communications, booking confirmations, reminders, notifications, and collecting feedback related to healthcare providers, laboratories, diagnostic partners, and ambulance operators

3.1.4 The Privacy Policy explains the categories of data collected, including sensitive personal data; the purpose, method, and manner of processing; the circumstances and entities to whom such data may be disclosed; the rights available to users under the DPDP Act; and the manner in which data is stored and retained

3.1.5 Users are required to read and understand the Privacy Policy to remain aware of the nature of information being collected, the reasons for such collection, the persons or entities to whom the information may be disclosed, applicable retention mechanisms, and the rights available to them

3.1.6 Vedika Health is not responsible for verifying the accuracy, truthfulness, or completeness of any personal or sensitive information provided by users on the Platform

3.1.7 Users are solely responsible for securing their account credentials, and all actions carried out from the user's account shall be deemed to have been authorized by the user. Users must promptly notify Vedika HealthTech in case of unauthorized use of their account. Users may be held liable for any losses suffered by Vedika HealthTech or third parties due to such unauthorized use

3.1.8 If any information submitted by a user is found to be inaccurate, misleading, incomplete, or outdated, Vedika HealthTech may, at its sole discretion, suspend or terminate the user's access to the Platform

3.1.9 Information collected through the Platform may be used for troubleshooting, user-support services, technical diagnostics, and debugging

3.1.10 (Call Masking Feature) Where the Platform offers a "Show Number" or "Call Now" option, the user agrees that calls may be routed through Vedika Health's call-masking system. By using this feature, the user consents to the storage of call logs for security, audit, and support purposes. Calls may also be recorded for quality and fraud-prevention measures. If the user does not consent to call recording, Vedika HealthTech may be unable to provide call-based enquiry or appointment services

3.1.11 Cookies & Tracking Technologies, Vedika Health uses cookies and similar tracking technologies to enhance user experience, improve Platform functionality, analyze usage patterns, and customize content. Certain cookies are essential for core operations such as login, session management, and security. By using the Platform, you consent to the placement and use of such cookies in accordance with our Cookie Policy. Users may manage cookie preferences through device or browser settings; however, blocking certain cookies may impact functionality

3.2 RELEVANCE ALGORITHM Vedika HealthTech uses an automated, AI-driven algorithm to display listings of doctors, laboratories, hospitals, ambulance providers, and other healthcare partners. The listing order is system-generated and does not constitute any form of endorsement, ranking, preference, or recommendation by Vedika HealthTech. The Platform shall not be liable for variations in listing order, changes in algorithmic behaviour, or the accuracy of user-generated reviews or feedback

3.3 LISTING CONTENT AND DISSEMINATION OF INFORMATION

3.3.1 Vedika HealthTech gathers and displays publicly available and submitted information regarding healthcare providers, including specializations, qualifications, consultation fees, operational details, availability, ratings, and related information. Vedika HealthTech makes reasonable efforts to update such information but does not guarantee its accuracy or completeness

3.3.2 All Platform services are offered on an "as is" and "as available" basis without any warranties, express or implied. Vedika HealthTech does not guarantee the accuracy of information displayed, the quality of healthcare services rendered by third parties, or the reliability of user-generated content. Users rely on such information entirely at their own risk

3.3.3 The Platform may contain links to external websites or services. Vedika HealthTech is not responsible for the content, accuracy, reliability, or consequences arising from the use of such third-party sites. Users access external links at their own discretion

3.3.4 Vedika HealthTech shall not be liable for any viruses, malware, technical issues, or device damage arising from your access or use of the Platform. If dissatisfied with the Platform or any part thereof, your sole remedy is to discontinue its use

3.3.5 If Vedika HealthTech discovers that a user has posted fraudulent, misleading, inaccurate, or malicious information, Vedika HealthTech may suspend or terminate the user's account, mark the associated profile as fraudulent, and recover losses or damages caused due to such conduct

3.3.6 (Pricing Graph and Insights) Any pricing insights, comparative graphs, or benchmarking information displayed on the Platform are illustrative and derived from aggregated third-party data. Users must not rely on such information for making medical or financial decisions. Vedika HealthTech assumes no liability for reliance placed on such insights

3.4 APPOINTMENT BOOKING AND CALL FACILITY

3.4.1 Vedika HealthTech makes reasonable efforts to secure confirmed appointments but is not responsible if a provider cancels, reschedules, becomes unavailable, or is otherwise unable to conduct a consultation

3.4.2 If a user utilizes call-based services, the call details may be shared with the concerned provider and retained as per the terms of the Privacy Policy

3.4.3 Search results on the Platform should not be interpreted as endorsements or recommendations by Vedika Health. Users engage with healthcare providers entirely at their own risk

3.4.4 Vedika Health is not responsible for interactions between users and providers, including misdiagnosis, negligence, incorrect medication, provider behavior, cancellations, delays, change in fees, quality variation, or any medical consequences resulting from the acts or omissions of providers

3.4.5 (Feedback) Users may submit feedback or ratings; however, Vedika Health shall not be obligated to take any specific action based on such feedback, including responding to delisting or moderation requests

3.4.6 (Patient No-Show) A user will be marked as a "Patient-No-Show (PNS)" if they fail to attend a booked appointment without cancelling it. Repeated PNS incidents may result in restrictions on online booking access for a period of up to four months

3.4.7 (Cancellation and Refunds) If a provider cancels an appointment, the user shall be eligible for a refund in the case of prepaid bookings. No refunds shall be issued for user no-shows. Waiting time or delays shall not qualify for refunds. In the case of disputes, the decision of Vedika Health shall be final

3.5 NO DOCTOR-PATIENT RELATIONSHIP; NOT FOR EMERGENCIES

3.5.1 Information displayed on the Platform, including any responses or interactions, does not establish a doctor-patient relationship between the user and Vedika Health

3.5.2 Vedika Health does not verify or guarantee the qualifications, competence, or professional capabilities of any healthcare provider. Users engage with providers at their own judgment and risk

3.5.3 (Emergency Disclaimer) The Platform allows Users to request emergency support and ambulance services. However, these services are provided on an availability basis and are not a substitute for immediate, in-person emergency medical care

The Platform does not guarantee instant response times, ambulance availability, or timely arrival of emergency medical personnel

If you or someone nearby is experiencing a critical, life-threatening, or severe medical emergency including but not limited to severe injury, unconsciousness, breathing difficulty, chest pain, stroke symptoms, or any situation requiring urgent intervention-you must

Immediately proceed to the nearest hospital, or Directly contact local emergency services or ambulance authorities, o

Call national emergency helpline numbers (112 - National Emergency Number (Police/Fire/Ambulance, 108 - Medical Emergency / Ambulance, 104 - Health Helpline, 102 - Government Ambulance Service.)

The Platform's emergency or ambulance request features are only supportive tools and should not be exclusively relied upon in life-and-death situations

3.6 CONSULT TERMS

3.6.1 Consultation Services
Vedika Healthcare provides a digital platform enabling Users to connect with registered medical practitioners, diagnostic providers, wellness experts, and other authorized healthcare professionals ("Service Providers") for online and offline consultations. Vedika is only a facilitator and not a healthcare provider.

3.6.2 No Doctor-Patient Relationship by Default
A doctor-patient relationship is established only when the Practitioner expressly agrees to provide consultation after reviewing your request or during an in-person visit.
Vedika Healthtech does not control, endorse, or influence any medical advice provided by a Practitioner.

3.6.3 Accuracy of Medical Information Provided by Users
You agree to provide complete, accurate, and truthful medical information, including symptoms, medical history, medications, allergies, and previous reports. Any incomplete or misleading information may impact the quality of medical advice, and Vedika shall not be responsible for the same.

3.6.4 Not a Substitute for Emergency Care
Consultations on Vedika HealthTech must not be used for medical emergencies, including conditions such as severe bleeding, unconsciousness, breathing difficulty, chest pain, or any life-threatening situation.
For emergencies, Users must contact the nearest hospital or emergency services immediately.

3.6.5 Limitations of Online Consultation
Users acknowledge that online consultations have inherent limitations, including but not limited to:

  • inability to conduct physical examination
  • inability to view complete medical history
  • dependency on User-shared information

Practitioners may advise in-person consultation or diagnostic tests when required.

3.6.6 No Professional Guarantees
Vedika does not guarantee:

  • the availability of any specific Practitioner
  • the accuracy of medical advice
  • the outcome or effectiveness of prescribed treatment

3.6.7 Fees and Payments
Consultation fees shall be displayed prior to booking. Once a consultation is completed, no refund shall be provided except under the refund policy explicitly stated on the Platform.

3.7 VEDIKA HEALTHTECH FEED (BLOG & CONTENT PLATFORM)

The following terms govern the use of Vedika HealthTech Feed, the content-sharing and wellness education feature available on the Vedika Health Platform. These terms apply to both Practitioners and End-Users, except where specifically separated for context.

3.7.1 Nature and Purpose of the Vedika Health Feed

Vedika Health Feed ("Health Feed") is an online publishing and informational feature that enables licensed healthcare professionals registered on the Vedika platform to create, upload, and share original content on topics related to healthcare, diagnostics, fitness, preventive care, nutrition, wellness, mental health, chronic disease management, pregnancy care, child health, general lifestyle, and other medically relevant topics permitted by Vedika Health.
The Health Feed is intended solely for educational and informational purposes and shall not be treated as medical advice, diagnosis, clinical assessment, or prescription.

3.7.2 Content Upload, Creation, and Use of Vedika Gallery

Practitioners who have an active Vedika Practitioner Account may log in to their dashboard and upload content consisting of text, articles, blogs, audio files, educational videos, animations, images, infographics, charts, or any combination of these ("Content").
Vedika Health may offer an internal library of licensed stock images, illustrations, or templates ("Vedika Gallery").

Practitioners may:

  • Upload their own original images,
  • Use royalty-free images they hold rights to, or
  • Select images from the Vedika Gallery for use solely in connection with content posted on the Health Feed.

Vedika Health does not represent or warrant the intellectual property rights, ownership, or license history of images included in third-party gallery sources. Any use of such images is strictly at the Practitioner's own risk, and Vedika Health shall not be liable for any infringement claims arising from such use.

3.7.3 Intellectual Property Representations and Practitioner Obligations

Practitioners uploading content represent and warrant that:

  • They are the original creators and owners of the content;
  • The content does not infringe copyrights, trademarks, patents, proprietary rights, personality rights, or privacy rights of any third parties;
  • They hold full rights to distribute the content on the Vedika Health platform.

Vedika Health reserves the right, at its sole discretion, to:

  • Remove infringing or objectionable content,
  • Block accounts involved in repeated or severe violations,
  • Take legal action in case of intentional misconduct.

Practitioners agree to indemnify and hold Vedika Health harmless against all claims, damages, losses, or legal actions arising out of any alleged or actual infringement caused by the content uploaded.

3.7.4 Assignment of Rights to Vedika Health

By uploading content, Practitioners grant Vedika Health a perpetual, worldwide, irrevocable, royalty-free, transferable license to store, use, reproduce, edit, display, distribute, publish, or create derivative works from the content for any purpose connected with the platform's functioning, marketing, product development, user education, or other lawful business activities.

Vedika Health may edit or remove content at any time for reasons including quality concerns, copyright risks, regulatory compliance, or user safety.

3.7.5 Content Standards and Legal Compliance

Practitioners must ensure that the content is:

  • Factually accurate and medically appropriate,
  • Not misleading or harmful,
  • Not defamatory, vulgar, obscene, pornographic, hateful, harassing, racially/ethnically offensive,
  • Not invasive of personal privacy,
  • Not threatening to the sovereignty, security, or integrity of India,
  • Not encouraging violence or illegal activities.

Vedika Health may remove content violating these conditions without notice.

3.7.6 User Participation and User Comments

End-Users may view Practitioner content and, where permitted, submit comments, questions, or feedback ("User Comments").
User Comments represent the personal opinions of Users and not the views of Vedika Health.

Users agree not to post:

  • Abusive, unlawful, or defamatory remarks
  • Inaccurate medical information,
  • Advertisements for medical services,
  • Personal contact details or solicitation content.

Vedika Health may delete any such comment and may suspend the User for repeated violations.

3.7.7 No Medical Advice Disclaimer

Neither Practitioner content nor User Comments constitute medical advice, clinical diagnosis, or treatment.
Users must consult a qualified doctor for any medical condition.
Vedika Health is not responsible for any actions taken by Users based on Health Feed content.

3.8 CONTENT OWNERSHIP & COPYRIGHT CONDITIONS OF ACCESS

3.8.1 Ownership of Platform Content

All content published on the Vedika Health Platform, including editorial material, health feed articles, UI elements, branding, text, images, code, layout, compilation, and proprietary algorithms ("Vedika Content"), belongs to Vedika Health or its licensors.
Unauthorized copying, scraping, modification, reproduction, resale, or redistribution of Vedika Content for commercial or competitive purposes is strictly prohibited.

3.8.2 User License to Access Vedika Platform

Vedika grants Users a limited, non-exclusive, non-transferable license to access the content for personal and lawful use such as appointment booking, consultation, diagnostic ordering, or reading health information.

Users shall not:

  • Reverse-engineer, scrape, or extract data,
  • Copy content for commercial use,
  • Benchmark or monitor platform performance for competitive analysis.

Violation may result in suspension and legal action.

3.9 PATIENT STORIES, REVIEWS & TESTIMONIALS

3.9.1 Nature of Patient Stories

Users may submit patient stories, experience narratives, reviews, ratings, or recommendations ("Critical Content") regarding healthcare providers listed on the platform.
Vedika acts purely as an intermediary under the Information Technology Act, 2000 and does not endorse, verify, or influence such reviews.

3.9.2 User Responsibilities

Users are solely responsible for the accuracy and authenticity of their submissions.
Users shall not publish:

  • False or defamatory statements,
  • Confidential health data without consent,
  • Content violating privacy or publicity rights,
  • Malicious or fraudulent reviews.

Vedika may remove any Critical Content violating the Terms or applicable laws.

3.9.3 Feedback Communication

Vedika may contact Users through SMS, email, call, or app notifications for the purpose of:

  • Validating reviews
  • Resolving disputes with Practitioners,
  • Requesting additional feedback.

Users agree to cooperate in such communications.

3.10 VEDIKA HEALTH RECORDS

Vedika Health provides Users with a digital record repository ("Records") that aggregates medical documents and health-related information.

3.10.1 Types of Records

User-Created Records:
Uploaded prescriptions, reports, vitals, notes, lifestyle logs, images, or health details added manually or through app integrations.

Provider-Created Records:
Records generated by hospitals, clinics, labs, or practitioners using Vedika's software or integrated systems, including:

  • Consultation summaries
  • Diagnostic reports
  • Laboratory results
  • Prescriptions
  • Discharge summaries

3.10.2 Ownership and Accuracy

Vedika does not validate clinical content.
Users must contact the Practitioner for corrections or clarifications.

3.10.3 Security & Access

Vedika uses industry-standard security and encryption but does not guarantee uninterrupted or error-free access.
Users must protect their login credentials and report breaches immediately.

3.10.4 Dependents' Records

Users accessing dependents' records take full responsibility for consent, accuracy, and lawful sharing of information.

3.10.5 Deletion of Records

Users may request deletion of their Records; however, clinical records stored by Practitioners remain under the Practitioner's legal obligation and will not be deleted by Vedika.

3.11 VEDIKA MEDICINE & DRUG INFORMATION SYSTEM

Vedika Health provides an informational feature ("Medicine Information System") that offers generalized, publicly available details regarding medicines, pharmaceutical products, nutraceuticals, supplements, over-the-counter formulations, and other medicinal goods ("Medicinal Products"). The information is educational in nature and is not intended to replace professional consultation or regulatory advice.

3.11.1 Scope of Information

The Medicine Information System may include, without limitation, the following categories of information:

  • Composition & Active Ingredients: Basic details regarding the primary components used in manufacturing the Medicinal Product.
  • Therapeutic Uses: General information on the common medical conditions or symptoms for which the Medicinal Product is typically prescribed.
  • Possible Side Effects & Adverse Reactions: A non-exhaustive list of commonly reported side effects which may occur due to the use of the Medicinal Product.
  • Precautions & Contraindications: Circumstances under which the product should not be used or must be used with caution.
  • Alternatives: Broad-level therapeutic alternatives that are known to be used for similar conditions. (Note: Alternatives are general and NOT personalized recommendations.)
  • Interaction Alerts: General information on potential interactions with food, other drugs, or lifestyle factors.
  • Administration Guidelines: High-level details such as when the product is typically taken (e.g., with food), strictly for informational purposes.

All information is generic, non-diagnostic, and non-prescriptive.

3.11.2 Terms Applicable to Users

  • No Replacement for Medical Advice: Information in this feature is NOT a substitute for clinical evaluation or consultation with a registered medical practitioner. Users must never self-medicate or begin, modify, or discontinue treatment based solely on this information.

  • Region-Specific Information: Drug information varies widely across countries and regulatory regions. Information shown on Vedika Health is India-specific, and Vedika does not confirm applicability outside India.

  • Source of Information: While Vedika Health uses reasonable efforts to source information from publicly available medical literature, regulatory data, third-party databases, and open resources, Vedika does not guarantee:

    • accuracy
    • completeness
    • scientific validity
    • freshness or up-to-date status

  • reliance on displayed information
  • self-medication
  • improper or unsafe usage of Medicinal Products
  • negligence in consulting medical professionals

3.12 VEDIKA HEALTH -Q&A / ASK-A-DOCTOR PLATFORM

3.12.1 TERMS FOR PRACTITIONERS

Practitioners participating in the Q&A Platform must comply with the following conditions:

(a) Professional Qualifications & Representation

Practitioners must respond only within their verified fields of specialization. By answering questions, the Practitioner confirms that:

  • They are appropriately qualified, trained, and authorized to provide general, education-based responses in their field.
  • Their profile information on Vedika is accurate and up-to-date.

(b) Nature of Responses

The Practitioner agrees that:

  • Responses are NOT medical advice and must not be framed as a diagnosis, treatment plan, or prescription.
  • Responses must be general, educational, and non-specific, intended only to raise awareness.
  • The Practitioner shall explicitly advise Users to seek an in-person consultation for diagnosis or treatment.

(c) Prohibited Activities

Practitioners shall NOT:

  • Provide a medical diagnosis.
  • Prescribe or recommend specific medicines or dosages.
  • Request User medical records outside the permitted Q&A interface.
  • Provide emergency guidance.
  • Advertise hospital services, clinics, procedures, supplements, treatments, or brands.
  • Solicit patients through Q&A answers, including sharing personal contact details or social media handles.
  • Provide personal, moral, religious, or ideological judgments.

Uploading or answering with any of the above may result in account suspension or permanent removal from the Q&A Platform.

(d) Liability for Responses

Practitioners are solely responsible for the implications of their answers.
Vedika Health:

  • Does not monitor responses for medical accuracy.
  • Is not responsible for any medical consequences arising from a Practitioner's response.
  • Acts only as an intermediary.

(e) Audits & Monitoring

Vedika Health may periodically review Q&A responses solely for:

  • Compliance with platform policies
  • Preventing harmful or misleading content
  • Ensuring no promotional or unethical content is shared

Such audits do not constitute medical validation.

3.12.2 TERMS FOR USERS / QUERISTS

(a) Nature of Q&A Interaction

Users understand that:

  • The Q&A Platform is a public forum.
  • User questions may be published publicly after removing personally identifiable information.
  • Responses from Practitioners are not a substitute for medical consultation.
  • No doctor-patient relationship is created through this feature.

(b) Prohibited User Content

Users shall not submit questions containing:

  • Explicit, abusive, harassing, vulgar, or defamatory material
  • Advertisements or promotional content
  • Requests for drug prescriptions or emergency services
  • Private contact information
  • Medical records that reveal identities of third parties
  • False, malicious, or misleading claims

(c) No Emergency Use

(d) Medical Disclaimer

Any Practitioner response on the Q&A Platform shall not be construed as medical advice.
Users must consult a doctor for any treatment decision.

(e) Rights of Vedika HealthTech

Vedika reserves the right to:

  • Refuse to publish questions
  • Delete inappropriate or harmful questions
  • Suspend Users for repeated violations
  • Modify or discontinue the feature without notice

3.13 VEDIKA HEALTHTECH DIAGNOSTICS - TERMS & CONDITIONS

Vedika HealthTech provides users with access to diagnostic services through a network of third-party laboratories, radiology centers, sample collection partners, pathology providers, and certified diagnostic institutions ("Diagnostic Partners"). Vedika Health acts as a technology platform and aggregator.

3.13.1 Nature of Service

Vedika HealthTech enables Users to:

  • Search for diagnostic tests, packages, and partner
  • Book at-home sample collection
  • Schedule appointments at labs
  • Access reports uploaded by Diagnostic Partners
  • Make online payments
  • Track service status

Vedika HealthTech does not perform diagnostic testing, sample processing, or interpretation.

3.13.2 Role of Diagnostic Partners

Diagnostic Partners are solely responsible for:

  • Ensuring testing accuracy

  • Maintaining NABL/NABH/ISO or applicable certifications

  • Proper sample collection, transport, processing, and disposal

  • Lab equipment quality

  • Compliance with all applicable laws

  • Timeliness and correctness of reports

  • Safety and hygiene standards

Vedika HealthTech is not responsible for the above activities.

3.13.3 Sample Collection Terms

Users booking home collection agree that:

  • The phlebotomist may check identity before collection
  • A re-collection may be required if samples are inadequate
  • Slot timings are tentative and subject to Partner availability

3.13.4 Test Reports

Vedika HealthTech may display reports uploaded by Diagnostic Partners on the User's Records.
Vedika does not:

  • Verify clinical results
  • Interpret reports
  • Provide medical opinions on test outcomes

Users must consult a doctor for interpretation or treatment decisions.

3.13.5 Delays, Rejections & Errors

Vedika HealthTech shall not be responsible for delays or errors arising from:

  • Lab backlogs
  • Equipment malfunction
  • Inadequate sample
  • Lab partner policies
  • Technical issues at Partner sites

Refunds, re-collections, or repeat tests are governed by the Diagnostic Partner's policies.

3.13.6 Pricing

Prices listed on the platform may vary due to:

  • Partner revisions
  • Location
  • Additional consumables
  • Emergency or special sample collection

Vedika HealthTech does not guarantee price uniformity.

3.13.7 No Medical Liability

Vedika HealthTech is not liable for:

  • Incorrect diagnosis
  • Report misinterpretation
  • Testing errors
  • Delayed test reports
  • Consequences arising from test results

Vedika acts purely as a facilitator.

3.14 VEDIKA BENEFITS / VEDIKA CREDITS (REWARDS SYSTEM)

Vedika HealthTech may provide certain rewards, discounts, promotional credits, or platform-based benefits ("Vedika Credits") to Users who meet eligibility criteria determined solely by Vedika.

3.14.1 Nature of Vedika Credits

Vedika Credits are:

  • Platform-based digital credits
  • Non-transferable
  • Not convertible to cash
  • Valid only for permitted services

Vedika Credits may be used for:

  • Online doctor consultations
  • Diagnostic test bookings
  • Pharmacy purchases, where enabled
  • Subscription plans
  • Service convenience fees, if allowed

Vedika may update eligible services at any time.

3.14.2 Redemption Rules

  • Only a fixed percentage of the total transaction amount may be redeemed, as prescribed by Vedika.
  • Vedika Credits cannot be pooled across accounts
  • Vedika Credits may come with an expiry date.
  • Credits are automatically void after expiry.
  • Vedika may change redemption rules without notice.

3.14.3 Expiry & Forfeiture

Vedika Credits may expire due to:

  • Account inactivity
  • Expiry dates notified via the app
  • Policy updates
  • Account suspension or termination

Credits cannot be reinstated once expired.

3.14.4 Discretion of Vedika Health

Vedika may award or revoke Credits at its sole discretion.
Vedika may deny Credits even if a User meets standard criteria.

3.14.5 No Representation of Value

Vedika Credits do not represent legal tender, money, property, financial value, or transferable rights.

3.14.6 Fraud or Misuse

Vedika may suspend Credits if Users are found to be involved in:

  • Misuse
  • Referrals fraud
  • Manipulating transactions
  • Abusing promotional campaigns

Vedika may recover losses incurred due to fraudulent activity.

3.15 VEDIKA SPECIALIST PROGRAM

Vedika HealthTech may, from time to time, establish specialized clinical programs ("Vedika Specialist Program") designed to curate high-quality healthcare providers, clinics, diagnostic centers, or specialty practitioners who meet elevated standards defined by Vedika Health. These programs are intended to enhance patient experience and establish trust by highlighting verified, quality-screened medical providers.

This clause applies to practitioners, clinics, and Users participating in or interacting with any Vedika Specialist Program, including but not limited to:

  • Vedika Dental Clinics Program
  • Vedika Women's Care Program
  • Vedika Child Health Program
  • Vedika Heart Care Program
  • Vedika Preventive Wellness Program
  • Vedika Physiotherapy & Rehab Program
  • Vedika Mental Health Program
  • Vedika Ayurveda & Holistic Health Program
  • Vedika Chronic Care Program (Diabetes, Hypertension, Thyroid, etc.)
  • Vedika Skin & Hair Program
  • Vedika Senior Care Program

Future programs shall automatically fall under this Clause.

3.15.1 Selection & Onboarding Process

Healthcare providers participating in any Vedika Specialist Program must undergo a rigorous multi-step evaluation, including (but not limited to):

  • Verification of practitioner qualifications, registrations, and licenses.
  • Clinical background checks and adherence to medical ethics standards.
  • Review of clinic infrastructure, hygiene protocols, safety standards, and equipment quality.
  • Compliance with relevant certifications (e.g., NABH, NABL where applicable).
  • Review of patient feedback, clinical outcomes, and service consistency.
  • A quality audit conducted by Vedika Health's internal or external medical audit team.

Only clinics and practitioners meeting the required standards will be onboarded.

Vedika reserves absolute discretion in determining eligibility.

3.15.2 Specialist Badge / Tag

Approved specialists or clinics will be assigned a "Vedika Specialist" tag, visible on their profile or listing.
This tag signifies:

  • The provider has passed Vedika's screening criteria;
  • The provider offers quality patient experience;
  • The provider complies with the Specialist Program requirements.

The tag does NOT represent medical superiority, guarantee of results, or endorsement of clinical outcomes.
It is strictly a quality-assurance indicator based on Vedika's internal assessment.

Vedika may remove the tag at any time if standards are not maintained.

3.15.3 Services & User Experience Standards

Clinics under the Vedika Specialist Program shall provide:

  • Transparent pricing and clear communication of procedures.
  • Accurate appointment availability.
  • Standardized service levels aligned with Vedika's quality guidelines.
  • Hygienic and safe clinical environments.
  • Proper billing and issuance of invoices.
  • Timely post-consultation communication where applicable.

Vedika will monitor quality periodically, but does not guarantee outcomes.

3.15.4 Booking & Payment Terms

Users may book appointments with Specialist Program providers through:

  • Vedika HealthTech App
  • Vedika HealthTech Website
  • Vedika Customer Support
  • Partner clinic integrations

Payments may be made:

  • Online through Vedika
  • At the Clinic (offline)
  • Hybrid model (partial online, partial offline)

For online payments:

  • Vedika may collect fees on behalf of the clinic or provider.
  • Vedika will issue receipts where required.
  • Vedika's refund and cancellation policies apply.

For offline payments:

  • Vedika is not responsible for collections, refunds, or disputes.
  • Users must address such issues directly with the clinic.(service provider)

3.15.5 No Medical Liability

Participation in the Specialist Program does not make Vedika a provider of medical services.

Vedika:

  • Does not supervise consultations, treatments, or procedures;
  • Does not guarantee outcomes, accuracy of diagnosis, or treatment success;
  • Is not liable for clinical decisions made by practitioners;
  • Is not responsible for post-treatment complications, negligence, or malpractice.

All medical liability rests solely with the treating practitioner, clinic, or diagnostic provider.

3.15.6 Standards Audits & Compliance Monitoring

Vedika may periodically audit specialists for:

  • Patient experience
  • Safety and hygiene
  • Adherence to service standards
  • Compliance with program rules
  • Update of practitioner qualifications
  • Timeliness and accuracy of appointment management

If any issues arise, Vedika may:

  • Issue warnings
  • Temporarily suspend participation
  • Remove the Specialist Tag
  • Terminate the clinic's or practitioner's program membership

Vedika's decision regarding program participation is final and binding.

3.15.7 Data Usage & Privacy

Vedika may collect, store, and process data related to:

  • Patient appointments
  • Payments
  • Clinical records shared by partners
  • Feedback and service ratings
  • Service consistency metrics
  • Operational insights

All data usage shall be governed by:

  • The DPDP Act
  • Vedika's Privacy Policy
  • Vedika's Data Retention Standards

Vedika ensures confidentiality and use of patient information only for legitimate platform purposes.

3.15.8 Relationship Between Vedika & Specialist Providers

Participation in the Specialist Program:

  • Does not create a partnership, joint venture, employment, or agency relationship.
  • Does not make Vedika the owner, operator, manager, or controller of the clinic.
  • Does not authorize clinics to represent themselves as Vedika employees.

Clinics and practitioners remain independent service providers.

3.15.9 Suspension, Modification, or Termination

Vedika may, at its sole discretion:

  • Modify program criteria
  • Update service quality guidelines
  • Add or remove program categories
  • Terminate the program or specific provider's participation without notice

Vedika is not responsible for any loss or damage resulting from suspension or termination.

3.15.10 User Acknowledgment

Users acknowledge that:

  • The Specialist Tag (The Specialist Tag is a quality-assurance badge given by Vedika Health to certain doctors, clinics, or healthcare providers who meet higher standards set by Vedika.) is informational and not a medical guarantee;
  • Providers are solely responsible for treatment quality and outcomes
  • Vedika is not responsible for aftercare, negligence, injury, or complications;
  • Users must perform their own due diligence before availing services.

4. PRACTITIONER TERMS

The terms in this Clause apply specifically to all medical practitioners, health-care professionals, diagnostic centers, laboratories, hospitals, ambulance operators, wellness providers, pharmacies, caregivers, and any other service provider ("Practitioner(s)") who register on, access, or use the Vedika Health Platform.

By registering as a Practitioner on Vedika HealthTech, you expressly acknowledge and agree to the obligations, representations, liabilities, and restrictions set out below.

4.1 REGISTRATION, VERIFICATION & ELIGIBILITY

4.1.1 Every Practitioner must create an account using accurate personal, professional, and regulatory information, including:

  • Name, qualifications, specialization
  • Registration number (e.g., Medical Council registration, AYUSH, Dental Council)
  • Clinic/hospital address
  • Consultation fees
  • License and establishment details
  • Supporting identity and practice documents

4.1.2 Vedika Health may conduct independent verification of documents submitted, including validation from medical councils, hospitals, or government portals. Verification is discretionary and not mandatory.

4.1.3 If any submitted information is false, misleading, incomplete, or unverifiable, Vedika Health may refuse registration, suspend the listing, remove the profile, or terminate the Practitioner's account.

4.1.4 Only Practitioners who hold valid licenses and are legally permitted to practice in India may list on the Platform. Any lapse in license validity must be reported immediately.

4.2 PRACTITIONER REPRESENTATIONS & WARRANTIES

By using the Vedika HealthTech Platform, every Practitioner represents and warrants that:

4.2.1 You hold the necessary qualifications, degrees, certifications, and statutory permissions required to provide the healthcare services offered by you.

4.2.2 You will comply with all applicable laws including:

  • Clinical Establishments Act
  • MCI/NMC guidelines
  • Telemedicine Practice Guidelines, 2020
  • Drugs and Cosmetics Act
  • Digital Personal Data Protection Act, 2023
  • Biomedical Waste & Health Facility Regulations

4.2.3 You will provide accurate, updated, and non-misleading information on your profile at all times.

4.2.4 You will exercise reasonable skill, diligence, and medical judgment in providing medical consultations and services.

4.2.5 You will not engage in false advertising, misleading claims, unverified therapies, or unethical practices.

4.2.6 You are solely responsible for the prescriptions you generate, treatment you recommend, and clinical decisions you take.

4.2.7 You will maintain professional indemnity insurance as may be required under Indian medical practice norms.

4.3 RESPONSIBILITY FOR CONTENT & LISTING INFORMATION

4.3.1 Practitioners are responsible for the correctness of profile details, photos, clinic timings, fees, digital records, teleconsultation availability, and all information uploaded by them.

4.3.2 Vedika HealthTech may edit formatting errors or inaccuracies but is not obligated to review or verify content uploaded by Practitioners.

4.3.3 Practitioners must promptly update their availability, change in fees, clinic closure, holidays, or temporary relocation.

4.3.4 Knowingly providing false, outdated, or inaccurate information may result in suspension or blacklisting.

4.4 APPOINTMENT MANAGEMENT OBLIGATIONS

4.4.1 Practitioners must honour all confirmed appointments generated through the Platform unless rescheduled with reasonable notice.

4.4.2 Unreasonably high cancellation rates may lead to de-ranking, temporary suspension, or permanent removal.

4.4.3 Repeated patient-no-show tagging by Practitioners must be genuine. False reporting will attract penalties.

4.4.4 Practitioners must ensure a minimum standard of patient communication:

  • Timely confirmations
  • Courtesy updates
  • Explanation for delays
  • Ethical and professional conduct

4.5 TELEMEDICINE & DIGITAL CONSULTATION OBLIGATIONS

4.5.1 Teleconsultations must comply with the Telemedicine Practice Guidelines, 2020, including identification of patients, informed consent, proper documentation, and issuing valid digital prescriptions.

4.5.2 Prescribing controlled substances or restricted drugs is prohibited unless permitted under applicable law.

4.5.3 Practitioners must maintain accurate digital records of teleconsultations for audit and medico-legal purposes.

4.5.4 Practitioners are responsible for ensuring the privacy and confidentiality of consultations conducted through their devices.

4.6 RESTRICTIONS ON CONDUCT

Practitioners agree NOT to:

4.6.1 Publish misleading, defamatory, fraudulent, or exaggerated claims about treatment outcomes.

4.6.2 Display before-after photos without consent.

4.6.3 Solicit patients through unethical practices (e.g., incentives, referral kickbacks, commission-driven prescribing).

4.6.4 Engage in sexual misconduct, harassment, abusive behavior, or unprofessional conduct with Users.

4.6.5 Influence or manipulate patient reviews or ratings.

4.6.6 Use the Platform to promote illegal drugs, banned therapies, unsafe treatments, or unapproved medical research.

4.6.7 Share another patient's personal or medical data without explicit consent.

4.7 FEES, PAYMENTS & COMMISSIONS

4.7.1 Practitioners agree to accept payments through the Platform where applicable.

4.7.2 Vedika HealthTech may charge service fees, commissions, or subscription charges for appointments, teleconsultations, digital services, or premium listings.

4.7.3 Payment settlements will be made to Practitioners as per the payment schedule notified on the Platform.

4.7.4 Any financial disputes or chargebacks involving patient refunds shall be handled by Vedika Health in accordance with the Cancellation & Refund Policy.

4.8 REVIEWS, RATINGS & FEEDBACK

4.8.1 Vedika HealthTech may display ratings, feedback, comparative metrics, or performance insights based on patient usage and algorithmic analysis.

4.8.2 Practitioners acknowledge that:

  • Reviews cannot be altered unless demonstrably false
  • Vedika HealthTech does not control patient opinions
  • Negative reviews will not be removed except in cases of abuse, profane content, or proven fraud

4.8.3 Attempts to manipulate or artificially inflate ratings may result in legal action or platform removal.

4.9 SPECIALIST TAG & QUALITY PROGRAMS

4.9.1 A Practitioner may be granted a "Specialist Tag" (The Specialist Tag is a quality-assurance badge given by Vedika Health to certain doctors, clinics, or healthcare providers who meet higher standards set by Vedika.) or other quality badge if they meet internal criteria determined by Vedika HealthTech, such as:

  • Qualifications verification
  • Practice experience
  • High patient ratings
  • Clinic quality assessment

4.9.2 These badges are informational only and do not constitute medical endorsements or guarantees.

4.9.3 Vedika HealthTech may withdraw or modify tags at any time.

4.10 PRACTITIONER-PATIENT RELATIONSHIP

4.10.1 Vedika HealthTech is only a technology platform and is not a medical service provider.

4.10.2 Any doctor-patient relationship is solely between the Practitioner and the User.

4.10.3 Practitioners are solely responsible for all medical advice, prescriptions, diagnoses, and treatment outcomes.

Vedika Health bears no liability for clinical decisions, negligence, or malpractice by Practitioners.

4.11 INDEMNITY

4.11.1 Practitioners agree to indemnify, defend, and hold harmless Vedika HealthTech, its directors, employees, affiliates, and partners from any claims, liabilities, losses, or damages arising out of:

  • Misdiagnosis
  • Wrong treatment or prescription
  • Malpractice
  • Unlawful conduct
  • Breach of law or guidelines
  • Violation of these Terms
  • Any patient dispute or grievance

4.12 SUSPENSION & TERMINATION

4.12.1 Vedika HealthTech may suspend or terminate a Practitioner's account if they:

  • Provide false credentials
  • Engage in unethical or illegal activities
  • Violate patient privacy
  • Manipulate reviews
  • Receive serious complaints
  • Disregard platform policies
  • Pose a risk to Users or public health

4.12.2 Vedika HealthTech may report serious misconduct to regulatory authorities (e.g., NMC/MCI, local health department, police).

4.13 NO WARRANTY

Vedika HealthTech does not guarantee:

  • A minimum number of appointments
  • Increased visibility
  • Patient acquisition
  • Revenue growth
  • Accuracy of analytics

All listing and appointment visibility is algorithm-driven and subject to change.

4.14 PRACTITIONER RESPONSIBILITY FOR THIRD-PARTY STAFF

4.14.1 If clinic staff or associated personnel interact with patients, the Practitioner is responsible for their conduct, compliance, and confidentiality obligations.

4.15 PRACTITIONER CONTENT LICENSE

4.15.1 By uploading content (including clinic photos, articles, videos), Practitioners grant Vedika HealthTech a non-exclusive, royalty-free license to publish and display the content on the Platform.

5. LIABILITY AND INDEMNITY

5.1 Limitation of Liability

To the maximum extent permitted by applicable law, Vedika HealthTech Private Limited ("Vedika HealthTech") shall not be liable for any direct, indirect, incidental, consequential, punitive, exemplary, or special damages arising out of or related to:

  • your access to or use of the Platform;
  • medical, diagnostic, ambulance, pharmacy, wellness, or related services provided by independent third-party Practitioners;
  • delay, cancellation, unavailability, or failure of any appointment or service;
  • misdiagnosis, clinical negligence, advice, treatment, or professional conduct of any Practitioner;
  • inaccuracies, omissions, or reliance on content, listings, or information displayed on the Platform;
  • data loss, unauthorized access, cyber threats, system interruptions, technical failures, or security breaches;
  • actions or omissions of external partners such as labs, pharmacies, diagnostic centres, or ambulance providers.

Vedika HealthTech functions solely as a technology intermediary connecting Users and healthcare service providers. It does not provide medical advice, diagnosis, treatment, or guarantee outcomes.

5.1.1 Liability Cap

Notwithstanding anything contained herein, Vedika HealthTech's aggregate total liability for any claim arising out of or relating to these Terms or the Platform shall not exceed INR 1,000 (Indian Rupees One Thousand only) or the amount paid by you for the specific service giving rise to the claim-whichever is lower.

5.2 No Medical or Emergency Liability

  • All medical services are the sole responsibility of the Practitioner providing them.

  • Vedika Health does not assume responsibility for medical outcomes, treatment accuracy, prescription safety, or clinical advice.

  • The Platform is not intended for emergency situations. Users must contact local emergency services or the nearest hospital.

5.3 Indemnity by Users

Users (patients, caregivers, or general users) shall indemnify, defend, and hold harmless Vedika HealthTech, its directors, officers, employees, agents, partners, service providers, and affiliates from any claims, damages, penalties, losses, or expenses arising out of:

  • misuse of the Platform or violation of these Terms;
  • submission of false, misleading, harmful, illegal, or inappropriate information;
  • breach of data protection obligations under the DPDP Act, including unauthorized sharing of personal or medical data;
  • user-generated content such as reviews, comments, stories, uploads, or feedback;
  • improper use of telehealth or booking features, including no-shows and misuse of records;
  • reliance on Platform content instead of professional consultation.

5.4 Indemnity by Practitioners

Practitioners (doctors, hospitals, clinics, labs, pharmacies, ambulance partners, and wellness providers) shall indemnify, defend, and hold harmless Vedika HealthTech from claims, damages, liabilities, or expenses arising from:

  • clinical negligence, misdiagnosis, or inappropriate treatment;
  • violation of medical, pharmacy, clinical establishment, or telemedicine regulations;
  • misrepresentation of qualifications, licences, experience, identity, or expertise;
  • breach of patient confidentiality or mishandling of health records;
  • professional misconduct, harassment, or unethical behaviour;
  • inaccurate listings, pricing manipulation, false advertising, or misleading information;
  • unlawful prescriptions or violation of controlled substance regulations;
  • intellectual property violations or misuse of Vedika branding;
  • disputes between Practitioner and User;
  • non-compliance with DPDP Act obligations applicable to healthcare providers.

5.5 Indemnity for Data Protection (DPDP Act, 2023)

Both Users and Practitioners agree to indemnify Vedika HealthTech for losses arising from:

  • unauthorized access or disclosure of digital personal data,
  • failure to obtain required consent,
  • illegal transfer or exposure of medical or sensitive data,
  • privacy breaches caused by negligence,
  • any non-compliance with DPDP Act obligations.

Vedika HealthTech is not liable for data breaches caused due to actions or omissions by Users or Practitioners.

5.6 Indemnity for Third-Party Services

You agree to indemnify Vedika HealthTech against claims arising from:

  • errors, negligence, or delays caused by independent labs, pharmacies, hospitals, wellness service providers, or ambulance operators;
  • disputes between Users and third-party healthcare providers;
  • failures or service lapses attributable to external partners.

Vedika Health does not warrant, endorse, or guarantee any third-party services.

5.7 Technology & Platform Indemnity

Users and Practitioners shall indemnify Vedika HealthTech against losses arising from:

  • hacking attempts, security breaches, or unauthorized access;
  • uploading harmful files, viruses, or malicious software;
  • tampering with Platform code, APIs, or applications;
  • scraping, data mining, or unauthorized data extraction.

5.8 Vedika's Right to Defend

Vedika HealthTech may:

  • assume exclusive control over any dispute subject to indemnity,
  • appoint legal counsel of its choosing,
  • require your cooperation in good faith.

Failure to cooperate may result in suspension or termination

5.9 Survival of Liability & Indemnity

The obligations under this Clause survive:

  • termination of your account,
  • discontinuation of Platform use,
  • expiry or amendment of these Terms.

Liability and indemnity protections remain in effect even after the cessation of services.

6. TERMINATION

6.1 Termination by User

You may terminate your account on the Vedika HealthTech App or Website at any time by:

  • submitting a deletion request through your account settings;
  • contacting Vedika HealthTech, Support at tech@vedika.health

Once you raise a termination request:

  • Your login access will be disabled
  • Your non-essential personal data will be deleted or anonymized as per the Digital Personal Data Protection Act, 2023 (DPDP Act);
  • Certain medical records, appointment logs, or consultation history may be retained only where required by law, by your Practitioner, or for regulatory compliance

Termination by a User does not affect:

  • outstanding payments,
  • legal obligations,
  • previous actions that occurred before the termination date.

6.2 Termination by Vedika HealthTech

Vedika HealthTech may suspend, restrict, or terminate your access (User or Practitioner) immediately, without prior notice, if:

a. Legal, safety, or regulatory reasons

  • violation of any applicable law (including clinical, pharmacy, data privacy, or telemedicine laws),
  • government or law-enforcement direction requiring suspension,
  • activities that endanger patient health or public safety.

b. Misuse of Platform

  • attempting unauthorized access, hacking, or security breaches,
  • uploading harmful, abusive, defamatory, obscene, fraudulent, or illegal content,
  • misuse of appointments, consultations, or medical services.

c. Fraud or Misrepresentation

  • impersonation, fake documents, incorrect qualifications, false information,
  • fraudulent consultations, fee manipulation, or chargeback abuse.

d. Practitioner-Specific Misconduct

This applies to doctors, hospitals, labs, pharmacies, or wellness professionals:

  • repeated patient complaints,
  • clinical misconduct,
  • ignoring telemedicine guidelines,
  • misdiagnosis due to negligence,
  • unauthorized prescription of Schedule drugs,
  • unethical advertising or solicitation of patients
  • violation of Vedika's Quality Standards or Specialist Program criteria.

e. Violation of Terms of Use

Any breach of these Terms, Privacy Policy, DPDP compliance requirements, or applicable guidelines may lead to termination.

Vedika reserves the right to:

  • terminate specific services,
  • remove practitioner listing,
  • disable content or profile visibility,
  • block future access to the platform.

6.3 Suspension Prior to Termination

Vedika may temporarily suspend your account while investigating:

  • suspected fraud, malpractice, or unauthorized activity
  • security threats,
  • DPDP-related concerns
  • disputes with Practitioners or Users.

During suspension:

  • access to services may be limited,
  • records may be withheld until verification is complete.

6.4 Effect of Termination

Upon termination -whether by User or Vedika:

a. Access termination

Your account, login credentials, app access, and dashboard will be disabled.

b. Data retention

Vedika will retain only the minimum necessary data required under:

  • DPDP Act, 2023
  • Telemedicine Practice Guidelines
  • Clinical Establishments or pharmacy laws
  • Financial/transactional laws
  • Medical record-keeping obligations of Practitioners

Practitioners may still retain legally required patient records created during consultations.

c. No refund

Unless specified under a particular service-specific policy:

  • No refund or credit will be issued for the unused portion of any plan, subscription, or service following termination.

d. Survival of obligations

Even after termination, the following clauses will continue to apply:

  • Liability limitation
  • Indemnity
  • Intellectual property rights
  • Governing Law and Jurisdiction
  • Payment obligations incurred prior to termination

6.5 Termination for Repeat Violations

Vedika reserves the right to permanently block or blacklist any User or Practitioner who:

  • repeatedly violates the Terms,
  • engages in misconduct or negligent medical practice,
  • abuses platform features,
  • participates in fraudulent behaviour, or
  • poses risks to other users, healthcare providers, or the platform's integrity.

Blacklisted accounts may not be eligible for re-registration unless explicitly allowed by Vedika HealthTech.

6.6 Discontinuation of Services

Vedika Health retains the right to:

  • discontinue any feature,
  • modify or stop the platform (app/website),
  • cease Practitioner listing services,
  • discontinue teleconsultation or diagnostic services,

with or without prior notice, for business, operational, or regulatory reasons.

Vedika will not be liable for any loss or inconvenience arising from such discontinuation

6.7 Communication of Termination

Vedika may notify Users or Practitioners of termination:

  • via email,
  • SMS,
  • in-app notification,
  • or any other appropriate channel.

However, in cases involving fraud, illegality, or urgent risks, termination may be executed without prior communication.

7. DISPUTE RESOLUTION

7.1 Overview

In order to promote efficient, fair, and cost-effective resolution of disputes, the Parties agree to the following three-tier dispute resolution mechanism, which must be exhausted sequentially before approaching any court or tribunal.

The term "Parties" in this Clause refers to:

  • Vedika HealthTech Private Limited ("Vedika HealthTech", "We", "Us", "Our")
  • Any User, Practitioner, or third-party service provider ("You", "Your")
    accessing or using the Platform.

Tier 1 - Informal Negotiation

7.2 Initiation of Negotiation

In case of any dispute, controversy, or claim arising out of or relating to:

  • these Terms of Use,
  • your use of the Platform,
  • any service availed through the Platform,
  • or any interaction between Users, Practitioners, or partners,

the aggrieved Party shall first issue a written Notice of Dispute to the other Party, clearly describing:

  • the nature of the dispute,
  • relevant facts,
  • documents relied upon,
  • and the relief sought.

7.3 Good-Faith Negotiation Period

Upon receiving the Notice of Dispute, the Parties shall engage in good-faith informal discussions to attempt amicable resolution for a period of thirty (30) days.

Both Parties agree to:

  • cooperate sincerely,
  • exchange necessary information,
  • and make commercially reasonable efforts to resolve the matter.

7.4 Failure of Negotiation

If the Parties are unable to resolve the dispute within the 30-day negotiation window, the dispute shall mandatorily proceed to Tier 2 - Mediation.

Tier 2 - Mediation (Mandatory Pre-Arbitration Step)

7.5 Governing Law for Mediation

All mediation proceedings shall be conducted in accordance with the Mediation Act, 2023 and any rules, regulations, or notifications issued thereunder.

7.6 Appointment of Mediator

The Parties shall jointly appoint an independent, neutral mediator who:

  • is accredited,
  • is mutually acceptable,
  • and has no conflict of interest in the dispute.

If the Parties are unable to jointly appoint a mediator within 10 business days, the appointment shall be made by any authorized Mediation Service Provider under the Mediation Act, 2023.

7.7 Nature of Mediation Proceedings

Mediation shall:

  • be confidential,
  • be non-binding unless a settlement agreement is signed,
  • focus on facilitating voluntary settlement,
  • not involve adjudication or determination of rights,
  • occur virtually or physically as agreed.

No statements made during mediation may be used as evidence in arbitration or litigation.

7.8 Mediation Timeline

Mediation shall commence as soon as the mediator is appointed and shall continue for 30 (thirty) days, unless extended in writing by mutual consent.

If no settlement is reached within this period, mediation shall be considered unsuccessful, and the dispute will proceed to Tier 3 - Arbitration.

7.9 Cost Sharing

Unless otherwise agreed:

  • Mediation fees, administrative charges, and mediator expenses shall be borne equally by both Parties.
  • Each Party will bear its own legal and representation costs.

Tier 3 - Arbitration (Final & Binding)

7.10 Governing Law for Arbitration

If negotiation and mediation do not result in a resolution, the dispute shall be finally resolved through binding arbitration governed by the Arbitration and Conciliation Act, 1996 (as amended).

7.11 Notice of Arbitration

The Party seeking arbitration shall issue a written Notice of Arbitration, specifying:

  • the nature of dispute,
  • claims and relief sought,
  • and supporting documents.

7.12 Appointment of Arbitrator

Arbitration shall be conducted by a Sole Arbitrator, mutually appointed by both Parties within 15 days of the Notice of Arbitration.

If the Parties fail to agree:

  • The appointment shall be made by the competent court or authority under Section 11 of the Arbitration and Conciliation Act, 1996.

7.13 Seat, Venue, and Language

  • Seat of Arbitration: Pune, Maharashtra, India
  • Venue of Arbitration: Pune, Maharashtra, India (or virtual hearings if mutually agreed)
  • Language: English

7.14 Nature of Arbitration Proceedings

The arbitration shall be:

  • confidential,
  • conducted in a fair, impartial, and efficient manner,
  • based on written submissions, oral hearings, and evidence as required.

The arbitral award shall be:

  • final,
  • binding on both Parties,
  • enforceable in any court of competent jurisdiction.

7.15 Costs of Arbitration

Unless otherwise determined by the arbitrator:

  • each Party bears its own legal costs,
  • arbitration fees are shared equally.

The arbitrator may award costs based on conduct, unreasonable delays, or frivolous claims.

7.16 Prohibition on Court Proceedings

No Party may initiate litigation regarding any dispute unless:

  • Tier 1 (Negotiation),
  • Tier 2 (Mediation), and
  • Tier 3 (Arbitration)

have been duly attempted or completed, except where:

  • injunctive relief is sought,
  • urgent interim relief is required,
  • or enforcement of an arbitral award is necessary.

7.17 Survival

This Dispute Resolution Clause:

  • survives termination of any User or Practitioner account,
  • applies even after cessation of Platform usage,
  • remains binding despite any changes to these Terms.

8. GOVERNING LAW

8.1 Applicable Law

These Terms of Use, the Privacy Policy, Cookie Policy, and all additional policies or agreements referenced herein shall be governed by and construed in accordance with the laws of India, including but not limited to:

  • The Indian Contract Act, 1872
  • The Information Technology Act, 2000
  • The Digital Personal Data Protection Act, 2023
  • The Mediation Act, 2023
  • The Arbitration and Conciliation Act, 1996
  • All applicable healthcare, telemedicine, consumer protection, and e-commerce laws

Regardless of your physical location, your use of the Vedika HealthTech Platform constitutes consent to the applicability of Indian laws.

8.2 Compliance with Local Regulations

You agree that you will:

  • Use the Platform only in compliance with laws applicable to your jurisdiction;
  • Not access or use any service prohibited in your region;
  • Not rely on medical, pharmaceutical, or healthcare content that may be region-specific to India.

Vedika HealthTech is not liable for violations arising from the User's failure to comply with local laws outside India.

8.3 Interpretation

If any ambiguity or dispute arises regarding interpretation of these Terms:

  • Indian legal principles of contract interpretation shall apply,
  • The English version of the Terms shall prevail over any translated version.

9. MISCELLANEOUS / ENTIRE AGREEMENT

9.1 Entire Agreement

These Terms, together with:

  • The Privacy Policy,
  • Cookie Policy,
  • Third-Party Terms,
  • Cancellation Policy,
  • Fraud Alert Policy,
  • Practitioner Terms,
  • and any additional Platform policies

constitute the entire agreement between you and Vedika HealthTech regarding your use of the Platform.

All prior oral/written communications, proposals, or representations stand superseded.

9.2 Severability

If any provision of these Terms is held invalid, illegal, or unenforceable:

  • such provision shall be enforced to the maximum extent permissible under law;
  • the remaining provisions shall remain valid and enforceable.

9.3 Waiver

Failure by Vedika HealthTech to enforce any provision shall not be construed as a waiver of that right.

No waiver shall be deemed valid unless issued in writing by an authorized representative.

9.4 Assignment

You may not assign, transfer, or subcontract your rights or obligations under these Terms without written consent from Vedika HealthTech.

Vedika HealthTech may assign or transfer its rights under business restructuring, merger, acquisition, or similar events.

9.5 Force Majeure

Vedika HealthTech shall not be liable for failure or delay caused by events beyond reasonable control, including:

  • natural calamities,
  • pandemics,
  • acts of government,
  • network outages,
  • cyber-attacks,
  • labour disputes,
  • or any force majeure event recognized under Indian law.

9.6 Communication & Notices

Official communication from Vedika Health may be sent via:

  • Email,
  • SMS/WhatsApp,
  • In-app notifications,
  • Website banners,
  • Or via a registered office postal address.

Your continued use constitutes deemed receipt of such communications.

9.7 No Partnership or Agency

Nothing in these Terms creates:

  • an employer-employee relationship,
  • joint venture,
  • partnership,
  • or agency relationship, between you and Vedika Health.

Practitioners remain independent professionals/contractors.

9.8 Survival

The following clauses shall survive termination:

  • Privacy obligations
  • Intellectual Property
  • Indemnity
  • Liability limitation
  • Governing Law
  • Dispute Resolution
  • Confidentiality obligations

10. JURISDICTION (Supplementary Clause)

Even though arbitration is the primary dispute mechanism, the following applies:

10.1 Courts Having Supervisory Jurisdiction

Subject to the Dispute Resolution Clause:

  • The courts at Pune, Maharashtra, India shall have **exclusive jurisdiction
    **over any matters relating to:
    • appointment of arbitrator under Section 11
    • interim relief under Section 9
    • challenge to arbitral award under Section 34
    • enforcement of award under Section 36
    • or supervisory jurisdiction under Indian law

10.2 Users Outside India

If you access the Platform from outside India:

  • You are responsible for compliance with your local laws;
  • You agree that Pune, Maharashtra courts have exclusive jurisdiction over all legal proceedings connected to these Terms.

11. MEMBERSHIP PLANS, SUBSCRIPTION BENEFITS & USAGE TERMS

11.1 Overview of Membership Plans

Vedika HealthTech offers optional subscription-based membership plans ("Membership Plans") that provide Users with enhanced healthcare services, exclusive benefits, and priority support. The currently available plans are:

  • Silver Plan - ₹12,000 per year (1 member)
  • Gold Plan - ₹18,000 per year (up to 4 members)
  • Platinum Plan - ₹24,000 per year (up to 6 members)

Each Membership Plan is valid for a period of 12 (twelve) months from the date of activation unless terminated in accordance with these Terms.

The Membership Plans do not constitute health insurance except where explicitly stated (Platinum mediclaim benefit).

11.2 Applicability & Member Limit

  • Silver Plan - benefits apply only to 1 registered member.
  • Gold Plan - benefits apply to up to 4 registered members, designated by the primary account holder.
  • Platinum Plan - benefits apply to up to 6 registered members, designated by the primary account holder.

The primary account holder is responsible for:

  • Adding and managing dependent members,
  • Ensuring accurate member information,
  • Ensuring that the benefits are not misused, shared, or transferred.

11.3 Services Included in Membership Plans

Each Membership Plan includes certain digital healthcare services. The currently available services include:

  • 24/7 Emergency Assistance

    • Priority response and coordination support during medical emergencies.
    • Emergency support is provided on a best-effort basis and does not guarantee availability of hospital admission, ambulance arrival times, or medical outcomes.
  • Online Doctor Consultations

    • Silver: 3 free consultations per month
    • Gold: 5 free consultations per month
    • Platinum: Unlimited consultations
    • Consultations are subject to doctor availability and applicable telemedicine guidelines.
  • Digital Health Record Storage

    • Silver: 150 MB
    • Gold: 250 MB
    • Platinum: 500 MB
    • Users must ensure timely backup of their own records.
  • Access to Nutrition Plans

    • Diet and wellness recommendations prepared by licensed professionals.
  • Medico-Legal Assistance

    • Basic guidance for health-related legal issues.
    • Does not constitute legal representation, notarization, or litigation assistance.

11.4 Member-Exclusive Features

Each Membership Plan includes the following exclusive benefits:

  • Priority access to newly launched products and services
  • Priority customer support
  • Early access to app features and updates

Vedika HealthTech may add, modify, or discontinue membership features at its sole discretion while ensuring that no material service already paid for is withdrawn without an equivalent replacement benefit.

11.5 Discounts Included Under Membership Plans

Members are entitled to the following discounts:

Silver Plan

  • Medicines: 5% off
  • Lab Tests: 5% off
  • Products: 5% off

Gold Plan

  • Medicines: 10% off
  • Lab Tests: 10% off
  • Products: 10% off

Platinum Plan

  • Medicines: 15% off
  • Lab Tests: 15% off
  • Products: 15% off

Discount Terms

  • Discounts apply only to purchases made through the Vedika HealthTech Platform.
  • Discounts cannot be clubbed with other offers unless explicitly permitted.
  • Discounts are non-transferable and non-encashable.
  • Discount amounts may vary if partner hospitals, labs, or pharmacies revise pricing or restrict discounts.

11.6 Mediclaim Coverage (Platinum Plan Only)

The Platinum Plan includes an optional mediclaim benefit of ₹1,00,000 (Rupees One Lakh only) subject to the following conditions:

  • The mediclaim is provided through a third-party insurance provider authorized by IRDAI.

  • Vedika HealthTech acts only as a facilitator and does not assume liability for:

    • claim approval or rejection,
    • delays in processing,
    • coverage disputes, or
    • non-compliance by the insurer.
  • Claim settlement, exclusions, waiting periods, pre-existing conditions, and documents required shall be governed solely by the insurer's policy terms.

  • Users must upload correct medical information and documents; false declarations may lead to denial of claims.

11.7 Upgrades, Downgrades & Plan Modification

  • Upgrade: Members may upgrade their plan at any time by paying the price difference. Upgrades take effect immediately.

  • Downgrade: Downgrades are permitted only at the next renewal cycle. No refund is provided for early downgrades.

  • Plan Changes by Vedika HealthTech: Vedika Health reserves the right to modify plan pricing, benefits, and features. Existing members will be notified in advance, and changes shall not affect benefits already paid for during the active subscription term.

11.8 Validity, Renewal & Expiry

  • Membership is valid for 12 months.
  • Users may choose to renew before expiry.
  • Upon expiry, benefits automatically discontinue.
  • Vedika HealthTech may offer grace periods or renewal offers at its discretion.

Auto-renewal will occur only where the User has expressly opted in, as required under RBI directives.

11.9 No Medical Guarantee or Warranty

Membership Plans:

  • do not guarantee diagnosis accuracy, treatment success, availability of doctors, or medical outcomes;
  • are not substitutes for emergency hospitalization;
  • do not constitute a doctor-patient relationship with Vedika Health.

All medical decisions must be made by qualified healthcare practitioners.

11.10 Refund Policy for Membership Plans

Membership Plans are non-refundable, except in cases where:

  • payment failure results in duplicate charges;
  • Vedika HealthTech is unable to provide core membership services for more than 30 consecutive days due to its own technical failure.

No refunds shall be permitted for:

  • partial usage,
  • unused consultations,
  • unused discounts,
  • change of mind,
  • personal dissatisfaction with medical outcomes.

11.11 Misuse of Membership Benefits

Vedika HealthTech may suspend or terminate membership without refund in cases of:

  • sharing login credentials,
  • unauthorized addition of members,
  • fraudulent discount claims,
  • misrepresentation of health data,
  • abuse of emergency services,
  • harassment of practitioners or staff.

Vedika HealthTech reserves the right to recover losses arising from misuse.

11.12 Disclaimer for Membership Plans

Membership Plans are provided on an "as is" and "as available" basis.
Vedika HealthTech does not guarantee uninterrupted availability of services and shall not be liable for operational issues caused by third-party partners, insurers, labs, hospitals, doctors, or pharmacies.

Clause 12 - Third-Party Services & Partner Terms

12.1 Third-Party Service Providers
Vedika HealthTech may integrate, display, or make available third-party services, including but not limited to:
(a) diagnostic laboratories, pharmacies, ambulance services, tele-consultation partners, payment gateways, logistics providers, insurance/mediclaim partners, wellness service providers, dieticians, fitness professionals, and other healthcare service entities;
(b) technology providers including hosting, cloud storage, analytics, SMS/notification services, and communication tools; and
(c) vendor partners offering healthcare-related products, supplements, equipment, or services.
By using these third-party services through the Platform, you acknowledge that such services are operated independently by third-party entities, and Vedika HealthTech does not have control over their operations.

12.2 Independent Contractor Status

All third-party providers listed or integrated on the Platform are independent contractors. Nothing in these Terms shall be construed as creating any employer-employee, principal-agent, joint venture, franchise, or partnership relationship between Vedika Health and such third parties.

Vedika Health:
(a) does not regulate,
(b) does not supervise, and
(c) is not responsible for the actions, omissions, behaviour, or service quality of such third parties.

12.3 No Endorsement or Guarantee

Vedika HealthTech does not endorse, recommend, guarantee, or validate:
(a) the qualifications, competence, licensure, certifications, or experience of any medical practitioner, diagnostic center, ambulance partner, pharmacy, or vendor;
(b) the accuracy of any information uploaded by third parties;
(c) the availability, timeline, quality, safety, legality, or fitness-for-purpose of third-party services or products.

Listing or displaying a third-party entity on the Platform does not constitute an endorsement by Vedika HealthTech.

12.4 Third-Party Terms & Policies

The use of third-party services may be subject to separate terms, conditions, privacy policies, and disclaimers issued by such third parties ("Third-Party Terms").

By availing such services, you expressly agree to comply with these Third-Party Terms.

Vedika Health is not responsible for any loss, damage, or liability arising from:
(a) your interaction with any third-party;
(b) the collection, processing, or misuse of your personal data by any third-party;
(c) pricing, cancellation, refund, or service failure attributed to a third-party provider.

12.5 Partner Pricing, Offers & Discounts

Any pricing, discounts, coupons, health packages, wellness offerings, or promotional schemes displayed on the Platform may be controlled by third-party partners. Vedika Health does not guarantee the accuracy, consistency, or availability of:
(a) discounts;
(b) inventory;
(c) service timelines;
(d) promotional benefits;
(e) mediclaim/insurance benefits offered by third-party insurers.

12.6 Data Sharing With Third Parties

Certain personal or health information may be shared with third-party service providers only to the extent necessary to enable service delivery, in compliance with the Digital Personal Data Protection Act, 2023.

Such sharing may include:
(a) appointment details shared with doctors;
(b) test orders shared with diagnostic labs;
(c) medication details shared with pharmacies;
(d) emergency information shared with ambulances;
(e) payment information shared with payment gateways;
(f) policyholder data shared with insurance providers.

Users consent to such data sharing by using the Platform.

12.7 Liability for Third-Party Actions

To the fullest extent permitted by applicable law, Vedika HealthTech shall not be liable for:
(a) any negligence, error, misconduct, malpractice, delay, omission, or breach by third-party service providers;
(b) misdiagnosis, incorrect reports, delayed results, or improper treatment by third-party medical providers;
(c) defective, expired, incorrect, or unsafe medical products supplied by vendors;
(d) payment failures, transactional errors, or fraudulent acts by third-party payment processors;
(e) failure of third-party insurance providers to honour claims or coverage.

All disputes, claims, or issues arising from third-party services must be addressed directly with the concerned third-party.

12.8 Third-Party Links & External Websites

The Platform may contain links to external websites or resources operated by third parties. Vedika HealthTech does not control, endorse, or guarantee such external websites, and is not responsible for:
(a) their content;
(b) their privacy practices;
(c) any loss or damage arising from your use of such external sites.

Users are advised to review the terms and policies of such third-party websites before accessing them.

12.9 Suspension or Termination of Third-Party Access

Vedika HealthTech reserves the right, at its sole discretion, to:
(a) remove any third-party provider from the Platform;
(b) suspend or terminate partnerships;
(c) discontinue or modify integrations with third-party services;
(d) restrict or block user access to third-party features,
without assigning any reason and without any liability.

12.10 User Responsibilities

Users agree and confirm that:
(a) all interactions with third parties are at the User's own risk;
(b) Users must verify the authenticity, qualifications, or reliability of any third-party provider before availing services;
(c) Users must comply with all laws, regulations, and third-party terms when using such services;
(d) Vedika HealthTech is indemnified against all claims arising from User interactions with third parties.

12.11 Indemnification for Third-Party Issues

Users agree to indemnify and hold harmless Vedika HealthTech, its directors, affiliates, officers, and employees from all claims, damages, liabilities, costs, losses, and expenses arising out of:
(a) interactions or transactions with third-party providers;
(b) breach of any Third-Party Terms;
(c) disputes between the User and any third-party provider;
(d) misuse of data, products, or services provided by third parties.

Clause 13 - Insurance & Mediclaim Partner Terms

13.1 Partner Services: The Platform may provide access to third-party insurance and mediclaim services ("Partners") to facilitate users in obtaining health coverage. Users acknowledge that the Platform acts only as a facilitator and is not a party to any insurance contract or mediclaim policy.

13.2 No Insurance Provider Role: The Platform is not an insurer and does not underwrite, guarantee, or provide insurance or mediclaim coverage. All insurance coverage, claims, and settlements are subject to the terms and conditions of the respective Partner. Users are responsible for reviewing and understanding the Partner's policies before subscribing or making any payment.

13.3 Claims & Coverage: Any insurance claim, approval, or settlement is governed solely by the Partner's policy terms.

The Platform is not responsible for processing, approving, or rejecting claims, or for any delays or disputes in claim settlement.

Users must follow the claims process prescribed by the Partner.

13.4 Accuracy of Information: The Platform endeavors to provide accurate and up-to-date information about the Partners and their services. However, the Platform does not guarantee the completeness, accuracy, or reliability of such information. Users should independently verify any details regarding coverage, premiums, terms, and benefits.

13.5 User Responsibility: Users are solely responsible for:
Selecting the insurance or mediclaim plan suitable for their needs.

Ensuring compliance with all eligibility criteria, documentation requirements, and policy conditions.

Directing any inquiries, complaints, or disputes to the Partner.

13.6 No Liability: To the maximum extent permitted by law, the Platform shall not be liable for:
Any loss, damage, or claim arising from the use or non-use of insurance or mediclaim services.

Any failure, delay, or error on the part of the Partner in providing coverage or settling claims.

13.7 Changes to Partner Terms: Partners may modify their terms, conditions, and pricing at any time. Users' continued use of Partner services constitutes acceptance of such changes.

13.8 Disclaimers:

The Platform does not provide professional advice regarding the selection or suitability of insurance or mediclaim policies.

Users should consult directly with Partners or qualified insurance professionals for advice.

13.9 New Product Launch Promotions (Vendor Advertising)
Vedika HealthTech may offer Vendors the opportunity to promote or advertise their new product launches, services, or healthcare-related offerings on the Platform.
Such promotional visibility is a chargeable service, and Vendors may be required to pay applicable advertising, listing, or promotional fees as determined by the Company from time to time.

All promotional content submitted by Vendors must comply with:

  • Applicable Indian advertising and healthcare regulations,
  • ASCI (Advertising Standards Council of India) guidelines,
  • The Platform's content and quality standards, and
  • Any additional promotional terms issued by Vedika HealthTech.

The Company reserves the right to:

  • Approve or reject any promotional content
  • Modify placement or visibility of ads,
  • Discontinue vendor promotions in case of non-compliance,
  • Charge or revise promotional fees at its discretion

Promotions and advertisements displayed by Vendors do not imply endorsement by Vedika HealthTech, and the Company shall not be responsible for claims made by Vendors in their promotional material.
